We also assist our clients with structuring secured and unsecured commercial and mortgage loans of all sizes and with negotiating and preparing the financing documents.

We advise clients from small entrepreneurs and start-up ventures to large established businesses across many industries during the process of raising funds through conducting private securities offerings to investors. These private placements, whether through venture capital, private equity, "friends and family" or crowdfunding investments, allow for businesses to finance the purchase of real estate or to develop or expand an emerging business. Our firm is devoted to helping new companies survive those challenging early years by putting into place the necessary legal structures, and established businesses meet their growth needs. In addition, we represent several commercial, industrial and multi-family real estate funds and developers. We handle document production, regulatory filings required by Securities and Exchange Commission and all of the issues that arise in connection with private placement transactions under federal and state securities laws, including the Dodd Frank Wall Street Reform and Consumer Protection Act.

We represent investors on the buying and selling of all types of real estate assets. We represent various lenders, both institutional and private, in connection with the documentation, analysis and due diligence attendant to real estate and commercial loans. We also have experience representing both landlords and tenants in all manners of leases, from space leases to ground leases, office leases to industrial leases.
